These Terms and Conditions ("Terms") govern your use of ShowUpOnline.co and all related sub-brand websites including stcarloweb.com and showuponline.co/cupertino (collectively, the "Website"), and the purchase of digital products and services offered by Show Up Online by Mary Milagros LLC ("we," "us," or "our"). By accessing the Website or purchasing any product, you agree to be bound by these Terms.

1. Products and Services

Digital Products

We sell digital products including but not limited to: Showit website templates, WordPress themes, Notion templates, Canva template kits, spreadsheets, and digital bundles. All products are delivered digitally via download link or email after purchase.

The St. Carlo (Done-for-You Websites)

The St. Carlo is a streamlined website design service. Upon purchase, you will complete a questionnaire. We will design, write, and launch your website based on your responses. This service does not include live meetings unless otherwise stated. Our target delivery timeline is approximately 5-7 business days from questionnaire completion, and most projects are delivered within that window. However, delivery may take up to 14 business days, and in some cases longer, depending on the complexity of your project, the number of revision rounds requested, delays in receiving content or feedback from you, or circumstances outside our reasonable control (including illness, technical issues, or other unforeseen events). The 5-7 day figure is a target, not a guarantee. We will communicate any expected delays as promptly as practical. A delay in delivery does not, on its own, entitle you to a refund.

The St. Cupertino (Quiz Generator)

The St. Cupertino is a quiz generation tool. You describe your quiz vision, and our AI-powered system generates it. This is a one-time purchase with no recurring subscription fees.

2. Pricing and Payment

All prices are listed in US dollars unless otherwise stated. We reserve the right to change prices at any time without prior notice. Payment is processed securely through our payment processors (Stripe, Etsy, or Shopify). You agree to provide accurate and complete payment information.

3. Digital Product License

What You Can Do

• Use purchased templates and themes for your own personal or business websites
• Customize, modify, and adapt templates for your own use
• Use Canva templates for your own social media accounts and marketing
• Use Notion templates for your own personal or business organization

What You Cannot Do

• Resell, redistribute, or share purchased products with others
• Offer purchased templates as your own product or service
• Use our products in a way that competes directly with Show Up Online
• Remove or alter any attribution, watermarks, or copyright notices
• Claim ownership of the original design or code
• Use products for illegal, harmful, or defamatory purposes

License Scope

Each purchase grants a single-user, non-transferable license. If you wish to use a product for multiple clients or businesses, you must purchase a separate license for each use, unless a multi-use license is explicitly offered.

4. Refund Policy

Digital Downloads (templates, themes, kits, spreadsheets, bundles)

Due to the digital nature of these products, all sales are final. We do not offer refunds on digital downloads once the product has been delivered or the download link has been accessed.

Exceptions may be made at our sole discretion in cases of:

• Duplicate charges or billing errors
• Product files that are corrupted or inaccessible (and cannot be resolved with technical support)
• Significant discrepancy between the product description and the delivered product

Services (The St. Carlo, The Mother Angelica) - 30-Day Money-Back Guarantee

For our done-for-you website services, we offer a 30-day money-back guarantee. If you are not satisfied with your delivered website, you may request a refund within 30 days of delivery by emailing madeline@showuponline.co. We will first work with you in good faith to address your concerns and make the site right; if we are unable to do so to your reasonable satisfaction within that period, we will refund your purchase.

The guarantee applies to the design service fee only. It does not cover third-party costs you incur directly (such as domain registration or paid hosting), optional add-ons that have already been fulfilled, or any managed-hosting subscription fees for periods already served. Managed-hosting subscriptions may be cancelled at any time and will stop billing at the end of the current billing cycle; subscription fees already charged are non-refundable.

The St. Cupertino quiz generator and other digital tools are covered by the Digital Downloads policy above unless a specific guarantee is stated on the product's sales page.

5. Intellectual Property

All content on this Website - including designs, code, text, images, logos, and branding - is the intellectual property of Mary Milagros LLC (operating as Show Up Online) and is protected by copyright and trademark laws. The purchase of a digital product does not transfer ownership of the intellectual property; it grants a license to use the product as outlined in Section 3.

6. User Accounts

If you create an account on our Website or through Membership.io for accessing video walkthroughs, you are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized access to your account.

7. Website Use

You agree not to:

• Use the Website for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Website
• Interfere with or disrupt the Website or its servers
• Scrape, copy, or reproduce Website content without permission
• Use automated tools (bots, crawlers) to access the Website

8. Disclaimer of Warranties

Our products and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our products will meet your specific requirements, that they will be error-free, or that they will be compatible with all platforms and devices.

9. Limitation of Liability

To the maximum extent permitted by law, Mary Milagros LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Website or products, including but not limited to loss of revenue, data, or business opportunities. Our total liability for any claim shall not exceed the amount you paid for the specific product giving rise to the claim.

Our Website may contain links to third-party websites and services (including Etsy, Shopify, Pinterest, Instagram, and LinkedIn). We are not responsible for the content, privacy practices, or terms of these external sites. Your interactions with third-party services are governed by their own terms and policies.

11. Discount Codes and Promotions

Discount codes and promotional offers are subject to the following conditions:

• Codes are valid for a limited time and may expire without notice
• Codes cannot be combined with other offers unless explicitly stated
• We reserve the right to revoke any code at any time
• Codes obtained through the spin-to-win wheel or other promotions are single-use and tied to the email address provided

12. Email Communications

By subscribing to our newsletter or making a purchase, you consent to receive email communications from us. You may unsubscribe at any time using the unsubscribe link included in every email. Transactional emails (order confirmations, download links) will still be sent regardless of your marketing preferences.

You agree that any dispute arising from these Terms or your use of the Website or products shall be resolved exclusively through binding arbitration administered in Illinois, or, where arbitration does not apply, in the state or federal courts located in Illinois, and you consent to the personal jurisdiction of those courts.
